These Terms of Service (Terms) govern your access to and use of the website www.caoying.lat (the Site) and the professional services provided by Songyuan City Cao Ying Network Technology Co., Ltd. (Cao Ying Network Technology, we, us, or our), a company registered in the People's Republic of China. By accessing the Site or engaging our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Site or our services.

1. Definitions

In these Terms, the following definitions apply:

  • Client means any individual or entity that engages our professional services.
  • Services means computer systems design, network architecture, cloud migration, cybersecurity, software development, IT consulting, and any related professional services we provide.
  • Site means the website located at www.caoying.lat and all associated subdomains.
  • Content means all text, images, graphics, code, designs, and other materials appearing on the Site.
  • Agreement means the written contract or statement of work executed between us and the Client for a specific engagement.

2. Site Use

Eligibility: You must be at least 18 years of age to use the Site. By using the Site, you represent that you meet this requirement.

Acceptable use: You agree not to use the Site for any unlawful purpose or in violation of these Terms. Prohibited activities include but are not limited to: attempting to gain unauthorized access to our systems, transmitting malware, scraping or data mining without prior written permission, and using the Site to send spam or unsolicited communications.

Availability: We reserve the right to modify, suspend, or discontinue any aspect of the Site at any time without notice. We are not liable for any unavailability or interruption of the Site.

3. Intellectual Property

Site Content: All Content on the Site, including text, graphics, logos, icons, images, software, and design elements, is the exclusive property of Cao Ying Network Technology or its licensors and is protected by Chinese and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or publicly display any Site Content without our prior written consent.

Trademarks: The name Cao Ying Network Technology, the domain caoying.lat, the Chinese company name 松原市曹影网络科技有限公司, and all associated logos and marks are trademarks of Cao Ying Network Technology. You may not use these marks without our prior written permission.

Client deliverables: Unless otherwise specified in a written Agreement, upon full payment for Services, we assign to the Client all rights, title, and interest in custom software, designs, and documentation created specifically for that Client under the Agreement. We retain ownership of any pre-existing tools, libraries, frameworks, and methodologies used in the delivery of Services.

4. Services and Engagement

Scope of work: All professional services are governed by a separate written Agreement that specifies the scope, deliverables, timeline, fees, and payment terms. No binding obligation to provide services arises from use of the Site or from preliminary discussions.

Proposals and estimates: Any proposals, estimates, or quotations provided are valid for the period stated therein. We reserve the right to revise estimates if the scope of work changes or if additional requirements are identified after initial assessment.

Client cooperation: The Client agrees to provide timely access to information, systems, and personnel reasonably required for us to perform the Services. Delays caused by the Client may result in adjusted timelines and additional fees.

Subcontracting: We may engage qualified subcontractors to perform portions of the Services. We remain responsible for the quality and delivery of all subcontracted work.

5. Payment Terms

Payment terms are specified in each individual Agreement. Unless otherwise agreed in writing:

  • Fees are quoted in USD or RMB as specified in the Agreement
  • Invoices are payable within 30 days of issuance
  • Late payments accrue interest at 1.5% per month or the maximum rate permitted by law
  • We reserve the right to suspend work if payment is overdue by more than 15 days

6. Confidentiality

Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party in connection with the Services. Confidential information includes business plans, technical specifications, source code, customer data, financial information, and any information marked as confidential. This obligation survives termination of the Agreement for a period of three years, or indefinitely for trade secrets.

Confidentiality obligations do not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was independently developed by the receiving party; (c) was rightfully obtained from a third party without restriction; or (d) is required to be disclosed by law or court order.

7. Limitation of Liability

To the fullest extent permitted by applicable law:

  • Cao Ying Network Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to these Terms or the Services, including loss of profits, data, business, or goodwill.
  • Our total aggregate liability for any claims arising from or related to an Agreement shall not exceed the total fees paid by the Client under that Agreement during the 12 months preceding the claim.
  • The Site is provided on an as-is and as-available basis without warranties of any kind, express or implied.

8. Indemnification

You agree to indemnify, defend, and hold harmless Cao Ying Network Technology, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your use of the Site; or (c) your infringement of any third-party rights.

9. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites. You access such links at your own risk.

10. Termination

We may terminate or suspend your access to the Site immediately, without prior notice, for any violation of these Terms. For professional services, termination provisions are specified in the applicable Agreement. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, confidentiality, limitation of liability, and indemnification.

11. Governing Law and Dispute Resolution

These Terms and any Agreements shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law principles. Any dispute, controversy, or claim arising from or relating to these Terms or the Services shall first be resolved through good-faith negotiation between the parties. If negotiation fails, the dispute shall be submitted to the competent court in Songyuan, Jilin Province, China.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, epidemics, internet or utility outages, and labor disputes.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised Last updated date. Material changes will be communicated via a notice on the Site. Your continued use of the Site after any changes constitutes acceptance of the updated Terms.

14. General Provisions

Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: No waiver of any term of these Terms shall be deemed a continuing waiver of such term or any other term.

Entire agreement: These Terms, together with any applicable Agreement, constitute the entire agreement between you and Cao Ying Network Technology regarding your use of the Site and our services.

Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
